Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you and SurveyStraight LLC, doing business as Verslee ("Verslee," "we," "us," or "our"), governing your access to and use of the Verslee platform and website (collectively, the "Services").
By creating an account, accessing the Services, or clicking "I agree" or any similar button, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
2. Description of Services
Verslee is an audience intelligence platform that enables leaders ("Leaders") to ask questions to groups of people ("Audience Members") and receive AI-synthesized perspectives from the responses. Responses are collected in three ways:
- Email delivery — Leaders add Audience Members by name and email address. Verslee sends questions directly to those members via email on the leader's behalf. Members reply in their email client; each reply unlocks the next question in the sequence. Members may unsubscribe at any time.
- Direct participation — Audience Members respond via a private web link shared by the Leader. No account is required for Audience Members.
- CSV import — Leaders upload a CSV file of responses previously collected through a third-party survey tool (e.g., Qualtrics, Google Forms, SurveyMonkey). Verslee processes these responses to generate synthesized perspectives.
Verslee uses AI to cluster, synthesize, and surface the key themes and perspectives within a set of responses.
3. Accounts and Eligibility
To use the Services as a Leader, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials confidential and not share them with others
- Notify us immediately at cookc.steve@gmail.com if you suspect unauthorized access to your account
- Be at least 18 years old, or the age of majority in your jurisdiction
You are responsible for all activity that occurs under your account. Verslee is not liable for any loss or damage arising from unauthorized account access where you failed to keep your credentials secure.
Audience Members who participate via a join link do not create accounts and are not subject to these Terms in their personal capacity. Leaders are responsible for ensuring their Audience Members' participation complies with applicable law.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation, including privacy laws governing the collection and processing of personal data
- Upload, submit, or process content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Collect responses from individuals without lawful basis or without their knowledge and consent where required by law
- Upload CSV data you do not have the right to process, or that contains data collected in violation of applicable law
- Attempt to reverse-engineer, decompile, or extract the source code of the platform or any AI models
- Use the Services to train competing AI models or reproduce the platform's synthesis methodology
- Circumvent, disable, or interfere with security features or access controls
- Use automated means to access the Services in a manner that exceeds normal usage or places undue burden on our infrastructure
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
We reserve the right to suspend or terminate access for any violation of this section, with or without notice, at our sole discretion.
5. Content and Intellectual Property
Your Content
You retain ownership of the questions you submit ("Leader Content") and, as between you and Verslee, the original responses submitted by your Audience Members ("Response Content"). By using the Services, you grant Verslee a worldwide, non-exclusive, royalty-free license to process, embed, analyze, and synthesize Leader Content and Response Content solely to provide and improve the Services.
Anonymous Derived Assets
When conversations are deleted or closed, Verslee converts response data into anonymized, differentially-private embeddings ("Derived Assets") as described in our Privacy Policy. Derived Assets contain no text, no identifiers, and cannot be reversed to recover original responses. Derived Assets are the sole property of Verslee and may be used for any legitimate business purpose including platform improvement, AI model development, and research.
Verslee's Intellectual Property
The Services, including the platform, software, AI models, synthesis methodology, clustering algorithms, user interface, and all related technology, are the exclusive property of SurveyStraight LLC and are protected by intellectual property laws. Nothing in these Terms grants you any ownership interest in the Services or Verslee's technology.
Feedback
If you submit feedback, feature requests, or suggestions about the Services, you grant Verslee an irrevocable, perpetual, royalty-free license to use that feedback for any purpose without compensation to you.
6. CSV Uploads and Third-Party Survey Data
When you upload a CSV file of responses collected through a third-party survey tool, you represent and warrant that:
- You have the legal right to upload and process the data contained in the CSV
- The responses were collected lawfully, with appropriate notice to and consent from respondents where required by applicable law
- You have not uploaded any data collected in violation of a third-party platform's terms of service
- The data does not include special categories of sensitive personal information (such as health data, biometric data, or financial account details) unless you have explicit consent and a lawful basis for processing such data
Verslee processes CSV-uploaded responses solely to generate synthesized perspectives. Response text is processed under your direction as a data processor. You, as the data controller for the original survey data, remain responsible for compliance with applicable data protection laws, including GDPR, CCPA, and any other relevant regulations governing your respondents.
Verslee assigns an anonymous identifier to each CSV row immediately upon upload. No participant name, email, phone number, or other identifier from your original CSV file is stored by Verslee beyond what is present in the free-text response column you designate.
7. Email Audience Lists
When you add Audience Members by email address for email-based delivery, you represent and warrant that:
- You have a lawful basis under applicable law (including CAN-SPAM, CASL, and GDPR where relevant) to contact each individual at the email address provided
- The individuals have a reasonable expectation of receiving communications from you in your organizational capacity
- You will not add email addresses of individuals who have previously opted out of communications from you or your organization
- The email list does not include individuals under 18 years of age
Verslee sends emails on your behalf as a transactional communication service. You, as the Leader, are the sender of record and are responsible for compliance with all applicable email laws and regulations. Verslee is not responsible for your underlying legal basis for contacting your Audience Members.
Every email sent by Verslee on your behalf includes an unsubscribe link. Members who unsubscribe are permanently removed from future sends and you must not re-add them. Verslee automatically honours unsubscribe requests — you do not need to manage this manually.
Audience Member email addresses stored for email delivery are used solely to deliver questions and route replies within the conversation thread. They are not shared with third parties, used for any other marketing purpose, or sold.
8. AI-Generated Synthesis
Verslee uses AI models to cluster responses and generate synthesized perspectives expressed in first-person language. You acknowledge and agree that:
- AI-generated synthesis represents a computational interpretation of response patterns and is not a verbatim quote from any individual
- Synthesized perspectives may not perfectly capture every nuance or minority viewpoint within a response set
- AI synthesis is a tool to assist human decision-making, not a replacement for it. You are solely responsible for decisions you make based on synthesized output
- Verslee does not guarantee the accuracy, completeness, or fitness for any particular purpose of any AI-generated content
- Synthesized responses are subject to content moderation and may be withheld if flagged for harmful content
8. Beta Program
The Services are currently provided as a beta product at no charge. During the beta period:
- The Services are provided "as is" and may contain bugs, errors, or incomplete features
- Features may be added, modified, or removed at any time without notice
- Service availability is not guaranteed and downtime may occur without advance notice
- We may limit usage, storage, or the number of responses processed at our discretion
- Beta access may be discontinued at any time. We will provide reasonable notice before transitioning to a paid model where feasible
Your participation in the beta program is governed by our Privacy Policy, which describes how your usage data and feedback may be used to improve the platform.
9. Payment and Subscriptions
The Services are currently free during the beta period. When paid plans are introduced, the following terms will apply:
- Pricing, plan features, and billing cycles will be communicated with at least 30 days' advance notice before any free-to-paid transition
- Subscriptions will auto-renew at the end of each billing period unless cancelled before the renewal date
- All fees are non-refundable except where required by applicable law or as expressly stated in a separate agreement
- We reserve the right to change pricing with 30 days' notice to existing subscribers. Continued use after the notice period constitutes acceptance of new pricing
- Failure to pay may result in suspension or termination of your account
This section does not create any obligation for Verslee to offer any particular pricing structure or to maintain the Services at any given price point.
10. Privacy and Data
Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.
If you are using Verslee to process personal data of individuals in the European Economic Area or United Kingdom, you may be required to execute a Data Processing Agreement with us. Contact cookc.steve@gmail.com to request one.
11. Termination and Account Deletion
Termination by You
You may delete your account at any time from within the platform settings or by emailing cookc.steve@gmail.com with the subject line "Delete My Account." Upon a verified deletion request, Verslee will permanently delete all personal information associated with your account — including account data, conversation history, and response text — within 45 days. See our Privacy Policy for details on what data is retained in anonymized, non-identifiable form after deletion.
Termination by Verslee
We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice, including for violation of these Terms, non-payment, inactivity, or discontinuation of the Services. Upon termination for cause, your right to access the Services ends immediately.
Effect of Termination
Upon termination of your account for any reason: (a) your access to the Services will cease; (b) Leader Content and Response Content associated with your account will be deleted on the schedule described in our Privacy Policy; and (c) provisions of these Terms that by their nature should survive termination will survive, including Sections 5, 12, 13, 14, and 15.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
Verslee does not warrant that: (a) the Services will meet your specific requirements; (b) AI-generated synthesis will be accurate, complete, or suitable for any particular use; (c) the Services will be available at any particular time or location; or (d) any errors or defects will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties. If you are in such a jurisdiction, some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERSLEE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR REPUTATIONAL HARM, EVEN IF VERSLEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL VERSLEE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO VERSLEE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the limitation of liability for certain damages. If you are in such a jurisdiction, some of the above limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Verslee and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any content you submit, upload, or transmit through the Services, including CSV uploads; or (e) your collection of data from Audience Members.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising out of or related to these Terms or the Services.
Before initiating any formal legal proceedings, you agree to contact us at cookc.steve@gmail.com and attempt to resolve the dispute informally for at least 30 days. This does not limit either party's right to seek injunctive or other equitable relief for urgent matters.
Class action waiver: To the extent permitted by applicable law, you waive any right to bring or participate in a class action, collective action, or representative proceeding against Verslee.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address associated with your account) and by updating the "Last Updated" date above. We will provide at least 30 days' notice before material changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may delete your account.
